How to Start Your Business in Kenya

The first step to formality is registration. A registered business builds trust with customers, qualifies for bank loans, and can bid for tenders and contracts.

📄 Sole Proprietor / Partnership

  • Register your business name at the Registrar of Companies (eCitizen)
  • Obtain a Business Permit from your County Government
  • Apply for KRA PIN — required for all tax obligations
  • Register for VAT once your turnover exceeds KES 5 million/year
  • Open a dedicated business bank account
  • Keep simple books — even a cashbook counts at this stage

🏢 Limited Company (Ltd)

  • Incorporate with the Registrar of Companies via eCitizen — name search first
  • Prepare Memorandum & Articles of Association
  • Obtain a Certificate of Incorporation
  • Apply for a Company KRA PIN
  • Register for VAT, PAYE, and Withholding Tax as applicable
  • Open a company bank account — separate from personal
  • File annual returns to the Registrar every year

Understanding Your Tax Obligations

🧾 Value Added Tax (VAT)

  • Charged at 16% on most goods and services
  • Zero-rated (0%) on exports, some food, and medicine
  • Exempt supplies include educational services and financial services
  • VAT returns filed monthly by the 20th of the following month via iTax
  • eTIMS (Electronic Tax Invoice Management System) required for all registered traders — we handle your eTIMS setup
  • Input VAT on business purchases can be offset against output VAT

💼 PAYE & Employment Taxes

  • PAYE deducted from employee salaries on a graduated tax scale (10%–35%)
  • NSSF — National Social Security Fund: employee + employer contributions
  • NHIF / SHA — National Health Insurance: monthly contributions per employee
  • HELB Levy — if any employee has a student loan balance
  • All remitted to KRA by the 9th of the following month
  • Payroll software (or our AI tools) automates all calculations

🏛️ Corporate Income Tax

  • Resident companies pay tax at 30% of net profit
  • Instalment tax payments due in April, June, September, December
  • Annual income tax return filed by 6 months after year-end
  • Allowable deductions include salaries, rent, depreciation, and professional fees
  • Tax losses can be carried forward for 4 years

✂️ Withholding Tax

  • Deducted at source when paying certain service providers
  • 5%–20% depending on nature of payment and residency of recipient
  • Applies to: professional fees, commissions, rent, management fees, dividends
  • Withheld amount remitted to KRA by the 20th of the following month
  • The withheld tax is a credit for the recipient on their tax return
